Terms and Conditions

1. Introduction

These Terms and Conditions govern the services provided by Hashbang B.V. ("Freelancer") for IT strategy consulting and related services. By engaging the Freelancer, the Client agrees to these terms.

2. Services

The Freelancer will provide IT strategy consulting services, including but not limited to:

• IT strategy development
• IT system analysis
• Project management
• Technology roadmap creation
• Other related advisory services

3. Deliverables

The specific deliverables will be outlined in a separate Statement of Work (SOW) agreed upon by both parties before the commencement of any project.

4. Payment Terms

• Rate: The Freelancer's rate is as specified in the SOW.
• Invoicing: Invoices will be issued monthly based on actuals and are payable within 30 days of receipt.

5. Expenses

All necessary and pre-approved expenses incurred by the Freelancer in connection with the services will be reimbursed by the Client. Receipts or appropriate documentation will be provided for all expenses.

6. Confidentiality

Both parties agree to keep all confidential information obtained during the term of the engagement private and not to disclose it to any third party without the written consent of the other party.

7. Intellectual Property

All intellectual property developed by the Freelancer in the course of the engagement will be the property of the Client, provided full payment for services has been made. The Freelancer retains the right to use any non-confidential techniques, methodologies, or know-how learned during the engagement.

8. Publication of Reference

The Client agrees that the Freelancer may publish a reference about the engagement, including a brief description of the services provided and outcomes achieved. The reference will not include any confidential information or specific details that the Client deems sensitive without prior written consent.

9. Termination

Either party may terminate the engagement by providing 14 days written notice. In the event of termination, the Client agrees to pay the Freelancer for all work completed up to the termination date.

10. Limitation of Liability

The Freelancer's liability for any claim arising out of this agreement is limited to the amount of fees paid by the Client for the services. The Freelancer is not liable for any indirect, incidental, or consequential damages.

11. Governing Law

These terms and conditions are governed by Dutch law.

12. Dispute Resolution

Any disputes arising out of or in connection with this agreement shall be resolved through Rookie Minds in Utrecht. If the dispute cannot be resolved through mediation, it shall be settled by binding arbitration.

13. Amendments

Any amendments to these terms and conditions must be made in writing and signed by both parties.

14. Entire Agreement

These terms and conditions, along with any SOW, constitute the entire agreement between the Freelancer and the Client and supersede any prior agreements or understandings.
